License Agreement
1. Grant of License
1.1 License Scope: The American Society of Digital Forensics & eDiscovery, hereafter ASDFED, hereby grants Member a non-exclusive, non-transferable, revocable license to use the ASDFED Photo Gallery and Glossary ("Licensed Materials") solely within documents, written reports, and presentations created by the Member during the term of their active membership.
1.2 Permitted Uses: The Licensed Materials may be used for professional, educational, and research purposes, including but not limited to:
Incorporation into computer forensic reports
Use in presentations for clients, colleagues, and industry events
Inclusion in academic papers or publications
2. Restrictions on Use
2.1 Membership Status: This license is contingent upon the Member's active status with ASDFED. If the Member's membership becomes inactive, the Member must cease using the Licensed Materials in any newly created or modified documents, reports, or presentations.
2.2 Modification of Existing Works: If a document, report, or presentation that includes the Licensed Materials is modified after the Member's membership becomes inactive, the Member must remove the Licensed Materials from the modified work.
2.3 Prohibited Uses: The Licensed Materials may not be used for commercial resale, sub-licensed, or distributed to non-members in any form. The Member may not use the Licensed Materials in a manner that could harm ASDFED's reputation or that violates applicable laws.
3. Intellectual Property Rights
3.1 Ownership: ASDFED retains all rights, title, and interest in and to the Licensed Materials, including any and all associated intellectual property rights. The Member does not acquire any ownership rights in the Licensed Materials by virtue of this Agreement.
3.2 Attribution: The Member agrees to provide appropriate attribution to ASDFED when the Licensed Materials are used in any public or professional setting.
4. Termination
4.1 Automatic Termination: This license automatically terminates upon the Member's loss of active status with ASDFED.
4.2 Breach: If the Member breaches any term of this Agreement, ASDFED may terminate the license immediately upon written notice to the Member.
4.3 Effect of Termination: Upon termination, the Member must immediately discontinue the use of the Licensed Materials in any new or modified documents, reports, or presentations. Any existing works containing the Licensed Materials that have not been modified may continue to be used, provided they are not altered in any way that incorporates the Licensed Materials.
5. Indemnification
The Member agrees to indemnify, defend, and hold harmless ASDFED and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to the Member's use of the Licensed Materials in violation of this Agreement.
6. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of Georgia, USA. Any disputes arising out of or in connection with this Agreement shall be resolved through mediation, and if necessary, through binding arbitration conducted in Atlanta, Georgia, USA.
7. Entire Agreement
This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements, understandings, and communications, whether written or oral.
8. Amendments
ASDFED reserves the right to amend this Agreement at any time. Any amendments will be communicated to the Member in writing and will take effect immediately.
9. Acknowledgment
By using the Licensed Materials, the Member acknowledges that they have read, understood, and agreed to be bound by the terms and conditions of this Agreement.
